partes independentes e com comercialização dos respectivos produtos de maneira autônoma no
mercado

. Em ao menos um caso, o fato de a relação ser “meramente vertical, não atendendo aos
requisitos do art. 2º da Resolução nº 17” foi considerado para a decisão de não-conhecimento

.
Em outro caso, a Superintendência-Geral afirmou que “serão considerados associativos
aqueles contratos que, de alguma forma, permitam a seus signatários organizarem fatores de produção
na busca de um objetivo comum”. Isso não se verificou no caso do contrato de industrialização “por
conta e ordem” então em análise, já que não havia qualquer elemento contratual que importasse em
atuação conjunta ou ingerência de uma Parte na outra, com o condão de pautar a oferta de produtos
no mercado. Além disso, o contrato estabeleceria forma usual para pagamento pelo fornecimento dos
produtos, isto é, preços pré-acordados por tonelada, o que afastaria a hipótese de compartilhamento
de resultados

Ainda quanto à forma de pagamento, um caso não foi conhecido tendo em vista que o
pagamento pelo serviço não estava associado à receita decorrente das vendas da parte que receberá
os produtos fornecidos, não existindo compartilhamento de resultados

. Outros elementos já
considerados para decidir pelo não conhecimento, devido à ausência de compartilhamento de riscos
e resultados, foram a não previsão de investimentos conjuntos ou comprometimento com metas de
vendas

, bem como estabelecimento de cláusulas que, em direção contrária, previam obrigações
individuais e autônomas para cada parte

.
Outro caso importante, cujo não-conhecimento após a vigência da Resolução nº 17/2016, foi
a análise de um acordo de codeshare entre TAM e Qatar Airlines

. Esse tipo de contrato era notificado
com frequência ao Cade – foram ao menos 57, desde a vigência da Lei nº 8.884/1994, embora só
tenham sido enquadrados como associativos a partir da vigência da Lei nº 12.529/2011. Entretanto,
com a vigência da Resolução nº 17/2016, e a partir da decisão da Superintendência-Geral no referido
caso, os acordos de codeshare típicos deixaram de ser notificação obrigatória por não importarem
em compartilhamento de riscos e resultados, uma vez que não preveem fatores como: (i) reserva
de assentos; (ii) qualquer forma de ingerência de uma parte sobre a outra (incluindo em relação
à estipulação de tarifas, cronogramas, serviços, estratégias comerciais e matérias similares); (iii)
cláusulas potencialmente restritivas da concorrência; e (iv) troca de informações concorrencialmente
