The Merger between Casas Bahia and Ponto Frio: effectiveness and celerity of the analysis by the Brazilian Competition Defense System and legislative evolution

Abstract
The aim of this paper is to analyze the effectiveness and speed of the SBDC regarding the prevention / repression of the abuse of economic power and the guarantee of free competition, especially with regard to the acts of economic concentration related to the merger between Casas Bahia and Ponto Frio, carried out under the aegis of Law no. 8,884 / 94. In this respect, a counterpoint is established with the innovations brought by Law no. 12529/11, specifically regarding the alterations referring to the instruction, resulting from the restructuring of the SBDC, as well as the novelty of the previous character of the examination of mergers. For this, empirical data from the first years of the new legislation's validity are demonstrated. To obtain the results sought by the research, the approach method to be followed is the inductive one, since a concrete case was started to analyze the feasibility of the changes. Finally, it was observed that the innovations implemented by the new Antitrust Law brought greater speed, effectiveness and legal certainty to the analysis of acts of economic concentration
