MERGERS AND ACQUISITIONS IN THE MOST PROTECTED SECTORS BY ANTI-DUMPING MEASURES: A DESCRIPTIVE ANALYSIS

Abstract

The overlaps between trade protection and antitrust policies are becoming increasingly evident not only with respect to the criteria of public interest analyses and antidumping investigations, but also regarding analyses of mergers and acquisitions. As a result, a better coordination among competent authorities has been widely defended in the academic literature. This article contributes to the debate by relating antidumping measures data, from the Brazilian Ministry of the Economy, with exclusive M&A data from the Administrative Council for Economic Defense (“Cade”, in Portuguese). The profile of all the cases concluded by Cade since 2015 are analyzed for the industrial segments characterized by the greatest number of antidumping measures in force. On average, the analysis period of less complex cases is higher in these segments, as well as the occurrence of vertical integrations. Cade conclusions, however, do not seem to differ from the authority standards in other segments.
